1. About these terms
These terms of use apply to your use of vb-distro.com (the "Site"). The Site is operated by VB GLOBAL BRANDS LTD (trading as VB Distribution), a company registered in England and Wales, company no. 13540609, registered office St James Building, 4-12 Regent Street, London SW1Y 4RG, VAT no. GB386560267 ("we", "us").
By using the Site you agree to these terms. If you do not agree, please do not use the Site. These terms cover use of the Site only. Orders are governed by our Trade Terms and Conditions of Sale.
2. Trade use only
2.1 The Site is a business-to-business trade platform for approved retailers and wholesalers. We supply the United Kingdom, including Northern Ireland. Isle of Man deliveries require prior written approval, and Channel Islands orders require separately agreed written export arrangements. All supplies are subject to clause 9 of our Trade Terms and Conditions of Sale. The Site is not intended for consumers or anyone under 18.
2.2 Product information and prices are shown only to approved trade customers who are logged in. Approval is subject to our Know Your Customer (KYC) checks.
2.3 You must be 18 or over and authorised to act for your business to register or use a trade account.
3. Your account
3.1 Keep your login details confidential. You are responsible for all activity under your account.
3.2 Tell us straight away at info@vb-distro.com if you think someone else has used your account.
3.3 We may suspend or close an account, or refuse access to the Site, if we reasonably believe these terms or our Trade Terms have been broken.
4. Acceptable use
You must not: - use the Site for any unlawful purpose, or to supply vaping products to anyone under 18; - share trade prices or account access with anyone outside your business, or share product images, descriptions or other product data except as permitted by clause 5.3; -copy, scrape, harvest or re-publish content or prices from the Site by automated means; - try to gain unauthorised access to the Site, its servers or any connected system; - introduce viruses or other harmful code, or interfere with the Site's operation; - impersonate any person or business, or give false information when registering.
5. Intellectual property
5.1 The Site and its content, including text, images, layout and our logos, belong to us or our licensors and are protected by intellectual property laws.
5.2 Hayati® and other brand names and logos shown on the Site belong to their owners and are used with permission.
5.3 Approved trade customers may use product images and descriptions from the Site only to sell those genuine products within the territories permitted under our Trade Terms, in accordance with the laws applicable wherever the products are marketed or sold and any brand guidelines we give you. Any other use needs our written permission.
6. Information on the Site
6.1 We work to keep product information accurate and up to date, but it is provided for trade information and may change without notice.
6.2 Content about law, duty or regulation is general information, not legal or tax advice. Check current HMRC and government guidance, or take professional advice, for your own business.
7. Links
7.1 The Site may link to other websites, such as HMRC and GOV.UK. We do not control them and are not responsible for their content.
7.2 You may link to our home page in a fair and lawful way. You must not suggest any endorsement by us that does not exist.
8. Availability
We aim to keep the Site available, but we do not guarantee it will always be available or error-free. We may suspend, change or withdraw the Site, or any part of it, at any time.
9. Liability
9.1 Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law.
9.2 Because the Site is for business use only, we are not liable for loss of profit, revenue, business or goodwill, or any indirect or consequential loss arising from use of the Site.
9.3 We are not liable for loss or damage caused by a virus or other harmful material that may affect your equipment or data through your use of the Site, so please use up-to-date security software.
10. Privacy and cookies
We use your personal data as set out in our Privacy Notice and use cookies as set out in our Cookie Policy.
11. Changes to these terms
We may update these terms from time to time. The version on the Site when you use it applies. The date at the top shows when they were last changed.
12. Law and jurisdiction
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
