Trade Terms and Conditions of Sale
Last updated: 23 October 2026
1. Who we are
1.1 These terms are between VB GLOBAL BRANDS LTD ("VB Distribution", "we", "us"), registered in England & Wales, company no. 13540609, registered office St James Building, 4-12 Regent Street, London SW1Y 4RG, VAT no. GB386560267, and the business that opens a trade account or places an order with us ("Buyer", "you").
1.2 VB Distribution is a trading name of VB GLOBAL BRANDS LTD, which is an HMRC-approved warehousekeeper (bonded warehouse) under Excise Notice 196, holds HMRC approval under the Vaping Duty Stamps Scheme, and is registered with HMRC for Vaping Products Duty. Approval and registration details are available to trade customers and authorities on request.
1.3 Contact: info@vb-distro.com, telephone +44 20 7692 8713, Monday to Friday 09:00 to 17:00 UK time, excluding bank holidays.
2. Business customers only
2.1 We sell only to approved businesses (retailers and wholesalers) buying in the course of their business. We supply approved trading addresses in the United Kingdom (England, Scotland, Wales and Northern Ireland), with other permitted destinations subject to clause 9. We do not sell to consumers. By opening an account or placing an order, you confirm that you are acting for a business and are not a consumer.
2.2 Because all Buyers are businesses, consumer rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the Consumer Rights Act 2015 (including the 14-day cancellation right) do not apply. By placing an order you confirm you are buying for the purposes of your business, and we may refuse or cancel any order that appears to be a consumer purchase.
2.3 The person opening the account must be at least 18 and authorised to bind the business.
3. Account approval and Know Your Customer (KYC) checks
3.1 You must hold an approved trade account before you can see prices or place orders. Prices are shown only to approved trade customers once logged in.
3.2 Every trade customer must pass our Know Your Customer (KYC) checks before an account is approved. We will ask for, and may verify:
- the legal name and Companies House number of the business (or full name and address of a sole trader or partnership);
- VAT registration number (where registered);
- the address of each trading premises the goods will be sold from, and evidence of that address;
- photo ID of a director or owner and of each authorised buyer;
- a signed declaration that the business will not supply anyone under 18 and will comply with clauses 8 and 9.
3.3 We may refuse an application, ask for more information, re-check your details at any time, and suspend or close an account without giving reasons, including where we suspect diversion, under-age sales, non-payment or non-compliance. We keep due-diligence records as required by law and HMRC guidance.
3.4 You must tell us within 7 days of any change to your business name, ownership, premises or VAT status.
4. Orders and acceptance
4.1 An order is an offer to buy. A contract is formed only when we confirm dispatch or send an order acceptance email. An automated "order received" email is not acceptance.
4.2 We may decline or cancel any order (with a full refund of any payment received), including for stock errors, pricing errors or failed checks.
4.3 Minimum order quantities and pack sizes are shown on each product. Orders below the minimum cannot be processed.
5. Prices and payment
5.1 All prices are trade prices for approved business customers. Prices for UK supplies include UK Vaping Products Duty (VPD) where applicable and exclude VAT, which is shown on your invoice. For approved Isle of Man deliveries and Channel Islands exports, the applicable price, duty and tax treatment will be confirmed in writing before we accept your order.
5.2 We do not add duty at dispatch. If HMRC changes the duty or VAT rate, prices for orders not yet accepted may change.
5.3 Payment is due in full, in cleared funds, before dispatch. By exception, we may offer a credit account to selected approved customers at our sole discretion, subject to credit checks and a separate written credit agreement. Where a credit account is agreed, invoices are payable within the period stated in that agreement, and we may change or withdraw credit at any time.
5.4 We may charge interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998, suspend deliveries and close the account.
5.5 Accepted payment methods are shown at checkout. Card payments are processed securely by Worldpay; we do not store full card details.
6. Duty-paid stock and vaping duty stamps
6.1 We supply duty-paid goods for the UK market and do not supply Buyers with goods under duty suspension under our standard trade arrangements. Isle of Man supplies are subject to confirmation of the applicable duty requirements. Any different duty treatment for Channel Islands exports must be separately agreed in writing before we accept the order.
6.2 Vaping products supplied for the UK market carry UK vaping duty stamps where required by law. Isle of Man supplies must meet the applicable duty and stamp requirements. Channel Islands exports are subject to the applicable export and destination requirements and will not automatically receive the same stamp treatment as UK supplies.
6.3 You must comply with applicable HMRC rules on stamped and unstamped stock. Some of our products carry transitional vaping duty stamps, which may be affixed only until 31 December 2026. Products bearing valid transitional vaping duty stamps, which have been lawfully released for consumption in the UK on or before 31 March 2027, may continue to be sold after that date, subject to applicable legal requirements. The 31 March 2027 sell-through deadline applies to eligible unstamped stock.
6.4 Unstamped stock may only be held, supplied or sold where, and for as long as, permitted by the laws applicable to the approved destination and the relevant movement of the goods.
6.5 You must not remove, damage or tamper with duty stamps, except where lawfully required and expressly authorised by us in writing, or for damage resulting solely from normal opening or use of goods subsequently found to be faulty and authorised for return. You must never reuse a duty stamp. You must keep our invoices and any duty or customs records we provide as evidence of the applicable duty treatment.
7. Product compliance
7.1 We supply nicotine-containing vaping products only where the applicable product-notification requirements for the approved destination have been met. For UK supplies, the required notifications must cover the relevant market in Great Britain or Northern Ireland, as applicable. The MHRA does not approve or test products. Relevant notification references are available on request.
7.2 Products meet the TRPR limits that apply to them, including nicotine strength no more than 20mg/mL, tanks and pods no more than 2mL and refill containers no more than 10mL.
8. Your compliance obligations
8.1 You are responsible for complying with all laws that apply to your resale of the goods, including:
- Age of sale: not selling nicotine or vaping products to anyone under 18, and not making proxy sales;
- Age checks: running an age-verification policy (for example Challenge 25), training staff and keeping a refusals record;
- Promotions: complying with the restrictions on free gifts, coupons, discounts and other promotions for vaping and nicotine products that come into force on 29 October 2026 under the Tobacco and Vapes Act 2026 and its regulations where they apply to our business;
- Advertising and display: complying with TRPR advertising restrictions and any display rules;
- Labelling: not repackaging, relabelling or splitting retail packs;
- Records: keeping purchase records and duty-paid evidence as required by HMRC (Keeping records for VPD);
- Trading Standards and HMRC: co-operating with any inspection or request and telling us promptly about any enforcement contact relating to our goods.
8.2 Territory: our permitted supply destinations and restrictions are set out in clause 9. You must comply with the laws applicable wherever you receive, store, market or resell the goods.
8.3 You will indemnify us for losses caused by your breach of this clause 8.
9. Supply territory and anti-diversion
9.1 We supply approved businesses at approved trading addresses in the United Kingdom (England, Scotland, Wales and Northern Ireland), subject to the applicable product and regulatory requirements. Deliveries to the Isle of Man require our prior written approval following checks of the applicable duty, stamp and product requirements. Channel Islands orders may be accepted only under separately agreed written export arrangements covering customs, local duties and taxes, product compliance and delivery responsibilities. We do not supply other destinations under these terms.
9.2 You must not resell, move, export, re-export or divert the goods outside the United Kingdom or another destination expressly approved by us in writing for those goods. You must not supply anyone you know or suspect will breach these restrictions or supply under-18s.
9.3 We may ask for evidence of where goods were sold, and close the account if this clause is breached.
10. Delivery, risk and title
10.1 We deliver to the approved trading address on the account. Delivery times are estimates; see our Shipping and Delivery Policy.
10.2 Risk passes to you on delivery. Ownership (title) passes only when we have received payment in full. Until then you must store the goods separately and identifiably, and we may recover them.
11. Inspection, shortages, damage and faults
11.1 You must inspect goods on delivery and notify us in writing at info@vb-distro.com, with photos where available, of shortages, transit damage, wrong items or faults reasonably apparent on inspection within 24 hours of delivery. Faults that could not reasonably have been discovered on that inspection must be reported promptly after discovery.
11.2 Claims are handled under our Returns and Refunds Policy.
12. Returns
12.1 We accept returns only for faulty, transit-damaged or incorrectly supplied goods, with prior authorisation. We do not accept change-of-mind returns. Accepted claims are settled by credit note, replacement or, at our choice, refund.
13. Recalls
13.1 You must keep batch and traceability records for goods bought from us. If we, a manufacturer or a regulator issue a recall or withdrawal, you must stop selling, quarantine affected stock, follow our instructions and give us the information we reasonably need.
14. Authenticity
14.1 Goods are sourced from the brand owner or its authorised manufacturer.
14.2 If you suspect any goods are counterfeit, stop selling them and tell us at once.
15. Liability
15.1 Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of the terms implied by section 12 of the Sale of Goods Act 1979 (our right to sell the goods), or anything else that cannot be limited by law.
15.2 We are not liable for loss of profit, lost sales, revenue, business interruption, goodwill or any indirect or consequential loss.
15.3 Our total liability for any order is limited to the price paid for that order.
15.4 Any statutory implied terms are excluded to the extent the law allows.
16. Force majeure
16.1 We are not liable for delay or failure caused by events outside our reasonable control, including changes in law or HMRC requirements, supply interruptions, strikes, carrier failure, extreme weather or IT failure.
17. Data protection
17.1 We process personal data about your staff and business contacts as described in our Privacy Notice.
18. Complaints
18.1 Send complaints to info@vb-distro.com. We will acknowledge within 3 working days and aim to respond in full within 30 days.
19. Changes to these terms
19.1 We may change these terms and will notify account holders by email. Updated terms apply only to orders placed after publication of the updated version. Each order remains subject to the version in force when it was placed, unless we expressly agree otherwise with you in writing.
20. Governing law
20.1 These terms and any dispute about them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
21. General
21.1 If any clause is found invalid, the rest remain in force. No delay in enforcing a right waives it. You may not assign the contract without our written consent. These terms, our order acceptance, the policies expressly referred to in these terms and any separate written terms expressly agreed with you form the whole agreement for the sale of goods. Any expressly agreed written variation, including a separate credit agreement, prevails to the extent of that variation. Otherwise, these terms take priority over our order acceptance and the policies.
